什么是公司的利益？(the interest of the company?)
“公司利益”标准是一个基本的法律结构，规定高管或董事代表公司采取的任何行动都会对公司产生合理的积极后果。“公司利益”标准的核心是保护股东不受公司董事滥用权力的影响。不同的司法管辖区对违反本标准的董事有不同的影响。虽然某些行为可能导致对进行不符合公司利益的交易的董事或高级职员的刑事指控，但其他行为只会导致交易无效。
公司的性质是，少数董事可以获得股东的资金，因此需要有一些标准来防止滥用。因此，“公司利益”标准是在普通法中制定的，并在大多数司法管辖区的公司法中持续存在。本标准适用于董事代表公司作出的所有行为。通过要求任何和所有行为都符合公司的利益，任何将资金委托给少数控制权董事的股东都可以满怀信心地这样做，即董事会的行为符合其利益，促进投资。
根据违反本标准的董事行为的性质，会产生不同的影响。根据普通法，任何不符合该标准的交易均被视为无效，董事可对最初与之进行无效交易的第三方的任何损害承担经济责任。如果董事的行为不仅符合公司的利益，而且具有欺诈意图，则董事可能要承担刑事责任。例如，一名董事以较低的价格将公司资产出售给他或她拥有所有权股份的另一家公司，可能因欺诈投资者而承担刑事责任。
在大多数司法管辖区，“公司利益”标准已通过法规扩展，超出了直接财务利益。通过将定义扩展到包括对社区的影响，该标准允许董事通过公司为整个社区带来利益，只要这些行为不会对其投资者造成重大损害。如果对本标准没有如此广泛的解释，董事将有义务继续为公司的财务利益行事，即使面临对整个社会的重大不利影响。
